Terms of Service

This is the English version of our Allgemeine Geschäftsbedingungen (AGB). If the two versions differ, the German version prevails.
1. Scope
(1) These Terms of Service apply to all contracts, services and offers of Ajaska GmbH. They also apply to the use of the websites at ajaska.de and of the applications Ajaska provides, including the internal application "Ajaska" with its Google Ads API integration (see ajaska.de/google-ads-api).
(2) Ajaska's offers are directed exclusively at businesses (entrepreneurs within the meaning of Section 14 of the German Civil Code), legal entities under public law and special funds under public law. Ajaska does not enter into contracts with consumers.
(3) Terms and conditions of the contracting party that differ from, conflict with or add to these Terms become part of the contract only if Ajaska expressly agrees to them in writing.
(4) Individual agreements (e.g. framework agreements, insertion orders, quotes) take precedence over these Terms.
2. Conclusion of contract
(1) Content on Ajaska's websites is non-binding and is not a binding offer.
(2) A contract is concluded only when Ajaska confirms an order in writing or text form, when both parties sign a contract, or when Ajaska begins performing the service.
3. Services
(1) The individual quote or contract defines the type and scope of services. These include in particular performance marketing, lead generation, brokering of reach and publishing.
(2) Ajaska may use agents and affiliated companies to perform its services, in particular Happy Story GmbH and Einfach zum Angebot GmbH.
(3) Where services depend on third-party platforms (e.g. Google Ads, Meta, Microsoft Advertising), those platforms' policies also apply. Ajaska does not guarantee their availability or their decisions (e.g. rejection of ads).
4. Use of the websites and applications
(1) The content of the websites is for general information only. Ajaska strives to keep it accurate and up to date but gives no warranty for this.
(2) The internal application "Ajaska" may be used only by authorized employees of the Ajaska group. Users must keep their credentials confidential. They may use the application only for the purposes described in the Privacy Policy for the Ajaska Google Ads API integration. Use of the Google Ads API is subject to the Google Ads API Terms and Conditions and the Google API Services User Data Policy.
(3) Misuse of the websites or applications is prohibited. This includes circumventing security mechanisms, introducing malware and placing excessive load on the systems.
5. Prices and payment
(1) The prices agreed in the individual quote or contract apply, plus statutory VAT.
(2) Unless agreed otherwise, invoices are payable within 14 days of the invoice date without deduction.
(3) The contracting party may set off only claims that are undisputed or have been finally established by a court.
6. Obligations of the contracting party
The contracting party provides Ajaska in good time with all information, materials and access needed to perform the services. It warrants that any content it provides is free of third-party rights and does not violate applicable law. It indemnifies Ajaska against any related third-party claims.
7. Intellectual property
All content of the websites (texts, images, logos, software) is protected by copyright. Any use beyond private use or the contractually agreed purpose requires Ajaska's prior written consent.
8. Liability
(1) Ajaska has unlimited liability for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act.
(2) For slightly negligent breach of an essential contractual obligation, liability is limited to the foreseeable damage typical for the contract.
(3) Otherwise, Ajaska's liability is excluded. This also applies to the personal liability of Ajaska's employees, representatives and agents.
9. Confidentiality and data protection
(1) The parties treat all confidential information obtained during their cooperation as strictly confidential.

10. Final provisions
(1) These Terms are governed by the laws of the Federal Republic of Germany. The UN Convention on Contracts for the International Sale of Goods does not apply.
(2) The courts of Munich have exclusive jurisdiction for all disputes arising from or in connection with contracts with Ajaska.
(3) If any provision of these Terms is or becomes invalid, the remaining provisions stay in effect.
(4) Ajaska may amend these Terms with effect for the future. The current version is always available at ajaska.de/en/terms.
